By using Wingtap, the Nonprofit agrees to these Terms, forming a mutual agreement between the Nonprofit and Hyphae LLC (collectively, the "Parties").

Wingtap is designed to connect donors and nonprofit organizations for fundraising and awareness activities; and the Nonprofit is engaged in providing services and is interested in utilizing the Platform to enhance its fundraising activities.
Wingtap features nonprofit organizations and their projects. It is designed to connect donors with nonprofit organizations for fundraising and awareness activities. Nonprofits engaged in providing services and interested in utilizing the Platform agree to use it solely for enhancing fundraising activities.
Nonprofits commit to sharing project details, updates, and news relevant to their projects on the Platform, ensuring content (Images, Videos, Written Stories, and Messages) is engaging, accurate, and in compliance with applicable laws.
Both Parties commit to protecting the privacy of donors and users in line with applicable data protection laws. Donor data will not yet be available at the Platform's launch for technical reasons, but we are committed to make that information available to the Nonprofit in the near future.
We commit to providing a reliable and user-friendly Platform, technical support, and accurate transfer of the funds directly from Wingtap users to the Nonprofit’s account via Stripe.
Wingtap users are informed at the moment of confirming the transaction through the Platform interface that the payment is made to the Nonprofit.
The Nonprofit commits to provide relevant content, actively providing updates on their work and status of their featured projects with Wingtap, which will share them with the users and donors in the “Updates” section. The frequency of updates to be provided depends on the ability of the Nonprofit, however, regular updates are recommended.
The Nonprofit commits, to the best of its abilities, to use the funds raised for the featured projects in accordance with the expected and intended way by the Platform users. The funds raised on the platform are, however, unrestricted and the Platform users are made aware of that.
For the purposes of these Terms, "payments" and "donations" are used interchangeably and refer to the financial contributions made by the Platform users to the Nonprofit.
We commit to facilitate the transfer of payments automatically from Wingtap users to the Nonprofit via the Stripe payment platform.
Wingtap retains 3.8% of the payment made by the Platform user for its own maintenance and development. Changes to this amount will be communicated in advance.
The payment platform Stripe retains 2.9% in addition to $0.30 for each payment made by the Platform user.
Any additional unforeseen financial considerations have to be communicated via email by either Party.
No further financial commitment can be expected from either Party. We are not responsible for any financial project goals unmet, or goals exceeded. In that latter case, proceeds will go to the Nonprofit as per the above conditions.
The Parties acknowledge each other's rights to their respective intellectual property and agree to use such property only in ways that are either agreed upon or mutually beneficial. In detail:
We will never impersonate the Nonprofit on Wingtap or elsewhere,
We will use within reason the Nonprofit’s Name, Logo, publicly available Images, Videos to promote the Nonprofit on our social media platforms and raise funds, again without impersonating the Nonprofit, clearly explaining the partnership in place between the Parties,
We will not use the Nonprofit’s Logo, Name, or any other representation in text or image on packaging or promotional materials unless agreed to in writing beforehand,
The Nonprofit may freely use Wingtap’s Logo, Name, Images, Videos without modifying the material or impersonating us, where they see fit: website, social media platforms, direct communications with donors, prospects, and other organizations. Feel free to request the materials.
Any other additional uses are to be communicated by email prior to such an event.
Both Parties agree to maintain the confidentiality of any proprietary information shared during the use of the Platform.
This partnership is effective as of the written communication and agreement per email between the Parties, and shall continue in effect until terminated by either Party within a week’s notice by email sent to either founder of Hyphae LLC, hello@wingtap.com, or to the Nonprofit’s contact person.
In the event of a dispute, the Parties will seek resolution through mutual consultation and, if necessary, mediation. Both Parties commit to strive to resolve any issue in a fair and just manner, working together towards a suitable solution, should such a situation arise.
In the event of a dispute with a donation made by a Wingtap user, we only fulfil the role of facilitator. All conflict resolution in this case takes place as per the usual process established by the Nonprofit.
We agree not to assign, subcontract or in any way transfer any of the obligations, duties or responsibilities under this MoU without the prior written permission of the Nonprofit. If such a case should arise, we will contact the Nonprofit to find an arrangement.
This MoU constitutes the entire agreement and understanding between Hyphae LLC and the Nonprofit with regard to the subject matter hereof. It may be reviewed and revised as necessary to reflect the evolving nature of the collaboration.
By accessing or using Wingtap, Nonprofits agree to be bound by the terms stated in this MoU.
